Investing in PeerStreet Notes (the “Notes” as defined in the PPM) involves risks, including the risk borrowers will not repay their loans and the risk of PeerStreet discontinuing the servicing of the loans which could result in investors losing all or most of their investment. PeerStreet's obligation to make any payment on the Notes it issues is wholly dependent upon a borrower or other third party paying PeerStreet on the corresponding loan in which you invested.

Before purchasing any of the Notes, you should carefully read the PPM, particularly the Risk Factors (as defined in the PPM), which provides detailed information about the risks of investing in the Notes.

The Notes are not guaranteed or insured by any governmental agency or instrumentality, any third party or by PeerStreet. Neither the U.S. Securities and Exchange Commission nor any federal or state securities commission or regulatory authority has recommended or approved any investment or the accuracy or completeness of any of the information or materials provided by or through this Site. Investors must be able to afford the loss of their entire investment.

When you make an investment on PeerStreet, you are investing in a mortgage dependent promissory note. A mortgage dependent promissory note is a promissory note in which the investor receives a stated interest rate for a stated term that is dependent on payment of the underlying loan between PeerStreet and the borrower. Accordingly, investors do not own the underlying property and their name is not on the property title or loan documents.

Automated Investing Disclosures:

Depending on your existing holdings, the cash balance of your account, and your investment criteria, it may take a long period of time for Automated Investing to deploy the investable cash in your account, and the entire balance in your account may never be deployed. Holding uninvested cash in your account will reduce your overall returns. You should review your investment criteria periodically to ensure that they are consistent with your current circumstances and financial goals.

Automated Investing only places orders to purchase Notes on the PeerStreet platform in accordance with your investment criteria; it does not sell Notes to rebalance your portfolio.

Investors who utilize PeerStreet's Automated Investing tool will have priority access to available investments on the Site (excluding certain investments which shall be identified from time to time in PeerStreet's sole discretion).
